ALL PURCHASES OF MUSIC ON THE L7D SITE AND PURCHASES OF PRODUCT (e.g., A MUSIC DOWNLOAD GIFT CERTIFICATE) AT SPONSOR LOCATIONS ARE CONSIDERED FINAL.

1. Sweepstakes Contest, Promotional Entries, Game Points, and Promotional Prizes

Promotional entries to a sweepstakes contest are offered as an incentive to increase sales of music at the L7D Site and of products (e.g., Music Download Gift Certificates) at Sponsor Locations that offer the free sweepstakes games.

Each time a Participant purchases songs or a product (e.g., a Music Download Gift Certificate), they receive free promotional entries to a sweepstakes contest relative to the corresponding value of their purchase. Promotional prizes can be won if a Participant receives a winning promotional entry.

Each promotional entry includes an alphanumeric code, that is either automatically sent to the free sweepstakes games or can be typed into a computer or tablet device if playing at a Sponsor Location. This unique code provides the Participant with a number of Game Points they can use to play the sweepstakes games at no cost. The number of Game Points allocated corresponds to the amount paid for songs or products (e.g., Music Download Gift Certificates).

Playing the free sweepstakes games does not influence or in any way change the outcome of whether a Participant has won a promotional prize. It is simply a fun-to-play entertainment that Participants may choose to play – if they are legal residents of Texas – in order to reveal whether their promotional entries have won a promotional prize. It is not necessary to play the free sweepstakes games to reveal if a promotional entry wins a promotional prize. Promotional prizes, if any, can be revealed at the click of a button without any gameplay taking place using the “Reveal All” functionality included in the free sweepstakes games software.

This is because we have already determined which of the free entries has a promotional prize attached to them. We create a finite number of entries to the sweepstakes contest and a finite number of promotional prizes. Those prizes are allocated to specific entries on a completely random basis, and they are locked in place until those entries have been assigned for play. Each finite pool of free entries and promotional prizes are replenished once they have been exhausted.

A Participant does not have to match numbers or symbols that are randomly drawn. There are no symbols on the promotional entries. The promotional entry contains only an alphanumeric code that provides the Participant with Game Points to play the free sweepstakes games and the value of any applicable promotional prizes allocated to that free promotional entry.

Further, promotional prizes are not awarded on the basis of numbers or symbols conforming to randomly selected numbers or symbols.

A Participant who wins can redeem their promotional prizes from a cashier at a Sponsor Location whether or not they have played the free sweepstakes games. Winning Participants may also redeem their promotional prizes in other ways as detailed on the L7D Site.

The free sweepstakes games at a Sponsor Location are sponsored by and benefit the Sponsor.

The number of free promotional entries and corresponding promotional prizes will decrease throughout the year as the sweepstakes contest progresses and promotional prizes are redeemed. Each finite pool of free entries and promotional prizes are replenished once they have been exhausted.

2. How to Purchase Songs and Products (e.g., Music Download Gift Certificates) and Receive Free Game Points

Participants can purchase individual songs at the L7D Site and purchase products (e.g., Music Download Gift Certificates) at Sponsor Locations. After setting up an account at the L7D Site, Participants can redeem Music Download Gift Certificates and select songs for download to the full amount of their original purchase. Individual songs may also be purchased using a credit card or PayPal.

Each Participant may only have one (1) account at the L7D Site. There are more than 22,000 songs available for purchase. Each individual song can be purchased and downloaded to a Participant’s computer or mobile device for one dollar and twenty-five cents ($1.25).

The cost and consequent cash value of a Music Download Gift Certificate is based on the amount of music purchased at any one time. There is no discount available for downloading more songs at one time, unless part of short-term Lucky 7 Downloads Promotional Incentive Program authorized by L7D LLC.

Participants receive one hundred (100) Game Points for every song purchased at the L7D Site. To illustrate with an example, if a Participant purchases a Music Download Gift Certificate for five dollars ($5.00) at a Sponsor Location, they will be able to select and download four songs from the L7D Site. They will also receive free promotional entries to the sweepstakes contest. If the Participant chooses, they can go to the free sweepstakes games site where they will be given 400 Games Points – that is, 100 Game Points for each of the four songs they purchased – and can play those Game Points in the free sweepstakes games to see if they’ve won a promotional prize.

Game Points can be used only to play the free sweepstakes games to promote the retail sale of songs on the L7D Site and products (e.g., Music Download Gift Certificates) at the Sponsor Locations.

Game Points may also be obtained WITHOUT A PURCHASE as described below in Section 3 of this document, No Purchase Is Necessary to Play Sweepstakes Games.

The free sweepstakes games do not differentiate between Game Points received from the purchase of a song on the L7D Site, a Music Download Gift Certificate purchased at a Sponsor Location, those Game Points granted by request, or from a Lucky 7 Downloads Promotional Incentive Program authorized by L7D LLC.

ALL PROMOTIONAL ENTRIES, USING GAME POINTS OBTAINED WITH OR WITHOUT THE PURCHASE OF A SONG FROM THE L7D SITE OR A PRODUCT (e.g., A MUSIC DOWNLOAD GIFT CERTIFICATE) FROM A SPONSOR LOCATION, HAVE THE SAME PROSPECTS OF WINNING APPLICABLE PROMOTIONAL PRIZES.

Though the Music Download Gift Certificates have a cash value, the promotional entries to the sweepstakes contest that Participants receive as a consequence of purchasing music have NO cash value and MAY NOT be redeemed for anything except the promotional prizes that may be assigned to a particular promotional entry, if there are any promotional prizes assigned to it. Likewise, Game Points have no cash value, and cannot be used for anything except to play the free sweepstakes games.

PROMOTIONAL PRIZES ARE REDEEMED AT THE SPONSOR LOCATION WHERE THE FREE SWEEPSTAKES GAMES ARE PLAYED, OR AS OTHERWISE PROVIDED FOR ON THE L7D SITE.

Music Download Gift Certificates may be redeemed online, at any time, using a computer or mobile device from any location that has an internet connection, at the following URL: http://www.lucky7downloads.com.

3. No Purchase Is Necessary to Play Sweepstakes Games

While a Participant obtains Game Points to play the free sweepstakes games when they purchase music at the L7D Site or a product (e.g., a Music Download Gift Certificate) at a Sponsor Location, a Participant may also obtain Game Points WITHOUT A PURCHASE by one of the following three methods:

(a) Participants can speak to a cashier at a Sponsor Location and request one hundred (100) bonus Game Points without the purchase of a product (e.g., a Music Download Gift Certificate). The Participant simply completes the necessary request form and will receive their bonus Game Points. Game Points provided without a purchase of a product (e.g., a Music Download Gift Certificate) are limited to one request per Participant every 24 hours, and the Participant must be present in the Sponsor Location to request the one hundred (100) bonus Game Points;

(b) Participants signing in to play the free sweepstakes games at the L7D Site are able to request one hundred (100) bonus Game Points during the sign-in process;

(c) Participants can also request one hundred (100) bonus Game Points by mail without the purchase of a product (e.g., a Music Download Gift Certificate). Simply write your request by hand, and include your name, address, city, state, ZIP code, email address and telephone number. Mail this request, along with a self- addressed stamped envelope (SASE) to:

Please allow 21 days for receipt of your bonus Game Points by mail. The one hundred (100) bonus Game Points requested will be mailed in the SASE provided by the Participant.

L7D LLC, the Sponsor, and its advertising and promotions agencies are not responsible for lost, late, illegible, misdirected, damaged, incomplete, incorrect, postage due requests, delayed mail delivery, lost or stolen entries, or problems of any kind whether mechanical or human. Requests for one hundred (100) bonus Game Points become the property of the Sponsor and will not be returned.

4. Eligibility

The free sweepstakes games may only be played by U.S. residents living in the State of Texas who are at least eighteen (18) years of age, and are void where prohibited, or as restricted by law. Employees of a Sponsor Location, the Sponsor and its affiliates, advertising and promotional agencies are also not eligible.

All Federal, State, and local laws and regulations apply. If you do not agree to these L7D Sweepstakes Games Rules in their entirety, you are not permitted to play the free sweepstakes games.

5. Revealing Promotional Prizes

The free sweepstakes games do NOT differentiate between Game Points granted by purchasing music on the L7D Site, a product (e.g., a Music Download Gift Certificate) purchased at a Sponsor Location, those Game Points granted by request without a purchase, and Game Points given to Participants as part of a Lucky 7 Downloads Promotional Incentive Program as authorized by L7D LLC. All promotional entries, whether received with or without a purchase, have the same prospect of winning any applicable promotional prizes.

Neither the choice of how to reveal the promotional prizes, nor the selection of sweepstakes game theme display, nor the number of Game Points used, will increase or decrease the prospect for winning any applicable promotional prizes.

The Participant has two choices of how to reveal the amount of promotional prizes, if any, that have been won:

(a) Participants may choose to open and reveal the promotional prizes, if any, without playing the free sweepstakes games by clicking on the “Reveal All” functionality available on the Menu bar of each individual free sweepstakes game. The “Reveal All” functionality is clearly labeled. If playing at a Sponsor Location, a cashier can show a Participant how the “Reveal All” functionality works.

(b) Participants may choose to open and reveal the promotional prizes by playing the free sweepstakes games, providing an entertaining method of incrementally revealing the assigned promotional prizes, if any.

If a Participant opts to reveal whether or not they have won any promotional prizes using the “Reveal All” functionality available on the Menu bar of each individual free sweepstakes game, promotional prizes won on each individual winning promotional entry are displayed. The cumulative total is displayed if the Participant has more than one winning promotional entry.

6. The Role of the Game Themes

L7D LLC offers a choice of 30+ different game themes. Game play is different for each game theme, and the instructions for how to play can be displayed on-screen for each game selected.

The choice of game theme plays no role in determining the amount or type of promotional prizes applicable (or not) to a promotional entry. There is no relationship between the values shown on the game theme display and the value assigned to a promotional entry. We create a finite number of entries to the sweepstakes contest and a finite number of promotional prizes. Those prizes are allocated to specific entries on a completely random basis, and they are locked in place until those entries have been assigned for play. Each finite pool of free entries and promotional prizes are replenished once they have been exhausted.

7. Redeeming Prize Points

If the Participant is playing in a Sponsor Location, all promotional prizes are subject to verification by the cashier. If playing online from a remote location, on-screen instructions will be provided as to how a Participant can redeem their promotional prizes, if applicable.

Promotional prizes are not transferable, and no substitution of promotional prizes is permitted.

Promotional prizes awarded from the malfunction of free sweepstakes games are not redeemable.

ANY DISCREPANCY ARISING FROM A PROMOTIONAL ENTRY IN THE FREE SWEEPSTAKES GAMES SHALL BE DETERMINED SOLELY BY THE SPONSOR AND/OR L7D LLC. ALL DECISIONS ARE FINAL.

No responsibility is assumed for lost, late, illegible, or misdirected mail.

Verification and final redemption of promotional prizes may take time – as much as 72 hours or more – and are contingent upon the Participant’s compliance with these L7D Sweepstakes Games Rules and with applicable Federal, State and local laws. Winning promotional entries will not be returned to the Participant.

Participants who have won promotional prizes, referred to hereafter as “Promotional Prizewinners,” agree to the use of their name, address, and photograph being used for publicity purposes without compensation, as a condition of obtaining any applicable promotional prizes.

8. The Payment of Appropriate Taxes

All Federal, State, and local taxes levied on the redemption of promotional prizes are the sole responsibility of the Promotional Prizewinners.

9. General Conditions of the L7D Sweepstakes Games Rules

All Participants agree to abide by the terms of these L7D Sweepstakes Games Rules and by the decisions of the Sponsor and/or L7D LLC, which are final and binding on all matters pertaining to the sweepstakes contest and the free sweepstakes games.

All Federal, State and local laws and regulations apply.

Neither Sponsor nor any service providers are responsible for, and shall not be held liable for, incorrect or inaccurate promotional entry information, or for any human or other error, technical malfunctions, lost or delayed data or voice transmission, omission, interruption, deletion, defect, line failures of any telephone network, or computer equipment or software, or any printing, mechanical, or other error or irregularity.

If for any reason, including, but without limitation, fraud, tampering, technical failures, malfunctions, printing, mechanical or any other factor, the Sponsor and/or L7D LLC believes, in their sole discretion, the integrity of the free sweepstakes games are impaired, the Sponsor and/or L7D LLC may, in their sole discretion, cancel, delay, revise, supplement, terminate, modify or suspend the free sweepstakes games in whole or in part. By using this software, you accept that you are bound by such content, as amended. L7D LLC is under no obligation to compensate you for any harm you may experience in reliance on or as a result of anything contained in the software and the interface depictions.

Sponsor and/or L7D LLC may disqualify anyone suspected of tampering with the promotional entry process or the operation of the sweepstakes contest or free sweepstakes games, or to be acting in violation of these L7D Sweepstakes Games Rules, or to be acting in a generally disruptive manner.

ANY ATTEMPT BY ANY PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE A GAMES TERMINAL, SERVER, CASHIER TERMINAL, OR ANY OTHER EQUIPMENT AT A SPONSOR LOCATION, OR TAMPER WITH THE PROMOTIONAL ENTRY PROCESS, OR OTHERWISE UNDERMINE THE LEGITIMATE OPERATION OF THE FREE SWEEPSTAKES GAMES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, COULD RESULT IN CIVIL ACTION AND/OR CRIMINAL PROSECUTION TO THE FULLEST EXTENT BY LAW.

10. Limitation of Liability

By participating in the sweepstakes contest and playing the free sweepstakes games, Participants agree to release and hold harmless the Sponsor and L7D LLC, its directors, officers, employees, distributors, representatives, agents and its affiliates, advertising and promotion agencies, and those associated with the development, distribution or implementation of the sweepstakes contest and free sweepstakes games, including but not limited to, sweepstakes system manufacturers, suppliers, and distributors (collectively referred to hereafter as the “Service Providers”) and each of their respective directors, officers, employees, representatives and agents (collectively referred to hereafter as the “Released Parties”) from and against any claim or cause of action arising out of or in connection with the sweepstakes contest and free sweepstakes games or acceptance, or participation in, or inability to participate in these sweepstakes contest and free sweepstakes games, or use of or inability to use any promotional prizes including, without limitation: Claims, suits, injuries, losses and damages related to personal injuries, death, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional, unauthorized human intervention in the sweepstakes contest and free sweepstakes games, technical errors related to computers, servers, providers, or telephone or network lines; printing errors; and errors in the administration of the sweepstakes contest and free sweepstakes games or the processing of promotional entries whether under a theory of contract, tort (including negligence), warranty or other theory.

Participants further agree that in any cause of action, the liability of the Sponsor and/or L7D LLC is limited to the amount paid for the songs purchased on the L7D Site and/or the product (e.g., a Music Download Gift Certificate) purchased at a Sponsor Location, and in no event shall Sponsor and/or L7D LLC be liable for incidental or consequential damages.

Participants waive the right to claim any damages and/or attorney's fees whatsoever against the Service Providers and Released Parties, including, but not limited to, punitive, consequential, direct, or indirect damages.

Participants agree that Texas law shall govern any and all disputes or claims arising out of these L7D Sweepstakes Games Rules and any cause of action shall be resolved individually, without resort to any form of class action. Participants further agree that Texas shall have exclusive jurisdiction and that the State and Federal courts of Travis County, Texas shall have exclusive venue over any and all disputes or claims arising out of these L7D Sweepstakes Games Rules.

11. Discretionary Entry

Participation in the free sweepstakes games is discretionary. The purchase of music on the L7D Site or a product (e.g., a Music Download Gift Certificate) at a Sponsor Location is NOT required to play the free sweepstakes games.

THESE RULES AND REGULATIONS GOVERN ALL ASPECTS OF PARTICIPATION IN THE SWEEPSTAKES CONTEST, FREE SWEEPSTAKES GAMES, AND THE AWARD OF PROMOTIONAL PRIZES.

PARTICIPATION IN THE SWEEPSTAKES CONTEST AND THESE FREE SWEEPSTAKES GAMES CONSTITUTES PARTICIPANT’S FULL AND UNCONDITIONAL ACCEPTANCE OF THESE L7D SWEEPSTAKES GAMES RULES.

From time to time, we expect to introduce new services and/or offer updates to our current L7D Services. If providing these new or updated services result in a material change to the L7D Sweepstakes Games Rules, we will update the L7D Sweepstakes Games Rules accordingly.
